Saka is committed to integrity and high standards of business ethics, and we expect our suppliers to commit to equal standards.
This Supplier Code of Conduct set the requirements that Saka Finland Group Oy and its group companies expect from its suppliers, including all supplier’s employees, subcontractors and group companies (“Supplier”).
This Supplier Code of Conduct shall form an integral part of supplier agreement with Saka and shall apply to the supplier agreement regardless of the form in which the agreement has been made, and may be supplemented by additional terms in the supplier agreement.
The Supplier is obligated to comply with the following requirements in all their business activities and to ensure that their subcontractors also adhere to these standards. The Supplier shall monitor that the requirements of this Supplier Code of Conduct are met and maintain documentation to demonstrate compliance with the Code of Conduct. Saka may request to review such documentation and perform audits, which the Supplier shall allow and assist with.
Legal compliance and business ethics
The Supplier shall comply with all applicable local and international laws and regulations.
The Supplier and its supply chain shall not act in any manner that is intended to or might harm Saka´s business, integrity or reputation. The Supplier shall avoid any situations in which a conflict of interest between the Supplier and Saka exists.
The Supplier shall comply with all applicable competition laws and shall not participate in price fixing, customer allocation, market sharing, or any other similar activities with competitors.
Any kind of bribery is strictly forbidden. The Supplier shall not promise, offer, or provide anything of value with the intent to influence the actions or decisions of Saka, its employees, government authorities, or any counterparties in order to obtain or retain an improper business advantage. Any gifts and business gestures from the supplier must be reasonable, business-related and comply with applicable laws.
The Supplier shall comply with all applicable import/export laws and trade regulations. Conducting business or engaging with individuals or companies listed on sanction lists by the EU, the UK, or the USA is strictly prohibited.
Labour and human rights
The Supplier shall not use or contribute to forced, compulsory labour or human trafficking. The supplier shall not employ or accept any form of child labour as prohibited by applicable local law and/or the Convention No. 138 of the International Labour Organisation (ILO).
The Supplier shall provide equal employment opportunities based on an individual’s capabilities and experience. Any discrimination based on race, colour, gender, age, religion, nationality, disability, sexual orientation or any other characteristic protected under applicable law is strictly prohibited.
The Supplier shall maintain a safe, healthy and non-discriminatory work environment.
The Supplier shall provide fair compensation to its employees, consistent with local industry standards or applicable laws. The supplier shall ensure that working hours comply with applicable local laws.
The Supplier shall respect the legal rights of employees to join employee associations and to engage in collective bargaining.
Confidentiality and data privacy
The Supplier shall keep all confidential information and trade secrets confidential to which it has access and use such information only for the benefit of Saka. The Supplier shall protect and respect all intellectual property belonging to Saka, its customers and other third parties and individuals.
When processing the personal data of Saka’s customers, potential customers, employees, or any other individuals, the Supplier shall respect the individuals’ right to privacy and comply with all applicable laws and the instructions provided by Saka. The Supplier shall treat personal data as confidential information and shall take appropriate technical and organizational security measures to protect such information against loss or unauthorized access, use or disclosure.
Environment and sustainability
The Supplier shall comply with all applicable local and international environmental laws and shall ensure that all required environmental permits and registrations are obtained and maintained in valid at all times. The Supplier recognises that environmental responsibility is important and shall, wherever possible, support a precautionary approach to environmental matters, undertake initiatives to promote greater environmental responsibility and encourage the diffusion of environmentally friendly technologies by implementing sound life-cycle practices and avoiding adverse effects on the community.
Continuous improvement and non-compliance
The Supplier strives continuously improve and develop its business activities to fulfill the requirements of this Supplier Code of Conduct, as well as to promote improvements that will increase the quality of its products and/or services.
If the Supplier discovers any misconduct under the Supplier Code of Conduct, all such violations must be promptly reported and addressed to Saka.
If the Supplier violates this Supplier Code of Conduct or refuses to provide requested documentation, this may result in the termination of the supplier relationship.
